What is a Certificate of Incumbency?

Answer: Anyone who wants to prove ownership or authorizations of their Delaware LLC (or Corporation). Delaware attracts millions of people to their LLCs. This is the only jurisdiction that allows an owner to remain anonymous. The name and contact information of the owner is never reported to the State of Delaware or made available to the public.

Answer: Photo identification (Passport) of all persons to be listed on the Certificate Completed Order Form provided by the Registered Agent Most Certificates of Incumbency are one page. Certificate of Incumbency is prepared by the Registered Agent and is Notarized. It is not filed with the State of Delaware. Certificate of Incumbency includes a Good Standing Certificate (produced by the State of Delaware).

Delaware Good Standing Certificate

A Good Standing Certificate is a statement issued by the Delaware Secretary of State’s Office that the company in question is valid, legally exists as a Delaware Corporation or Limited Liability Company, is current with all franchise taxes (or LLC taxes), filings, and registered agent services, and thus is in good standing with the State of Delaware as of the date of issuance. Certified Copies of Formation Documents

A certified copy is a reproduction of the official document filed with the Delaware Division of Corporations.
